These terms and conditions ("Terms") govern your use of services offered by Byteleap, an Indian limited Proprietorship in with its registered office in [B-503, Young Aheria CGHS, Plot-2, Sec-7, Dwarka, New Delhi, 110075], India ("Byteleap", "we", "our", or "us"). These Terms form a binding agreement between you (the "Client", "User", or "you") and us. By accessing or using our website or services, submitting an order, or accepting a proposal, you agree to be bound by these Terms.
Note: Aptness is a product offered under Byteleap. All terms outlined here apply equally to services accessed via or through Aptness.
1. DEFINITIONS
- 1.1 "Solution" refers to the suite of services, software, consultation, and deliverables provided by Byteleap, including hosted platforms, marketing services, and content support.
- 1.2 "Subscription" refers to a tiered service or access level to our digital or consulting products based on a mutually agreed scope of work or order.
- 1.3 "Client Data" means all information, content, and material provided to us by the Client.
- 1.4 "Order" refers to any statement of work (SOW), quote, or written confirmation agreed between us and the Client.
2. SCOPE OF SERVICE
- 2.1 Services include strategy, content, marketing, analytics, creative work, and other services detailed in your Subscription Tier or Order.
- 2.2 We grant you a limited, non-exclusive, non-transferable license to use any deliverables or software during the Subscription Period solely for internal business purposes, unless otherwise agreed.
3. ACCOUNTS AND REGISTRATION
- 3.1 You may need to register an account to access certain services. You must provide accurate, up-to-date information and maintain the confidentiality of your login credentials.
- 3.2 We reserve the right to suspend or terminate accounts for misuse, violation of these Terms, or illegal activity.
- 3.3 Users are solely responsible for maintaining the confidentiality of their login credentials and all activities under their account. Passwords must not be shared or disclosed to any third party.
4. FEES AND PAYMENT
- 4.1 You agree to pay the applicable fees according to the selected Subscription Tier or Order. All fees are exclusive of taxes.
- 4.2 Payments are due in advance unless otherwise stated. Failure to pay may result in suspension of services.
- 4.3 No refunds are provided for change of mind. Fees are non-refundable unless otherwise required by applicable law.
5. CLIENT OBLIGATIONS
- 5.1 You agree to cooperate with us and provide timely access to resources, personnel, and Client Data needed for service delivery.
- 5.2 You warrant that all content, data, and material shared by you does not infringe any third-party rights and complies with applicable laws.
- 5.3 You agree not to reverse-engineer, decompile, copy, disrupt, or attempt to derive the source code or internal logic of any software, tools, or services offered by us.
- 5.4 By connecting third-party services (e.g., Google Drive, Gmail), you grant us permission to access, retrieve, and act on your behalf solely to perform the automation and services requested in your workflows.
6. INTELLECTUAL PROPERTY
- 6.1 We retain ownership of all intellectual property created during the course of engagement unless explicitly transferred.
- 6.2 You are granted a limited license to use deliverables strictly for your internal use.
- 6.3 Any use beyond the agreed scope requires our prior written consent.
- 6.4 Any misuse, unauthorized copying, reverse engineering, or disruption of our platform may result in immediate termination or suspension of your account.
7. CONFIDENTIALITY
- 7.1 Both parties agree to protect each other's confidential information from unauthorized use and disclosure.
- 7.2 Obligations of confidentiality shall survive termination of this agreement.
8. DATA PROTECTION
- 8.1 We implement commercially reasonable security practices to protect Client Data.
- 8.2 We may use trusted third-party platforms (e.g., Google, Firebase) for hosting or processing. We are not liable for issues arising from such platforms.
9. LIMITATION OF LIABILITY
- 9.1 To the fullest extent permitted by law, our total liability is limited to the total fees paid by you in the preceding 3 months.
- 9.2 We shall not be liable for indirect, incidental, or consequential damages including loss of revenue, profits, or data.
10. INDEMNITY
You agree to indemnify and hold harmless Byteleap and its affiliates against any loss, damage, liability, or expense arising from your breach of these Terms or misuse of the services.
11. TERMINATION
- 11.1 Either party may terminate this agreement with 30 days’ notice.
- 11.2 We may terminate without notice for breach, non-payment, or malicious activity.
- 11.3 We reserve the right to suspend or terminate any user account at our sole discretion without prior notice if the user is found in breach of these Terms, misuses the platform, or engages in conduct that undermines our services.
- 11.4 Upon termination, your license to use the deliverables and platform access ceases. We are not obliged to retain or return Client Data unless otherwise agreed.
12. FORCE MAJEURE
We are not liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including but not limited to acts of God, pandemics, cyberattacks, or governmental restrictions.
13. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.
14. GENERAL
- 14.1 Severability: If any provision is held unenforceable, the remainder remains valid.
- 14.2 Entire Agreement: These Terms constitute the entire agreement and supersede all prior representations.
- 14.3 No Waiver: Failure to enforce any right shall not constitute a waiver.
- 14.4 Amendments: We may modify these Terms by posting updated terms. Continued use of our services implies acceptance of changes.
- 14.5 Service Changes: We reserve the right to modify, update, or discontinue any feature or part of the platform at any time without prior notice.
- 14.6 Disclaimer: While we strive for precision and reliability, our agents, automations, or service workflows may occasionally make mistakes. Users are advised to exercise discretion and independently verify important outcomes.
